अंतरराष्ट्रीय वित्तीय सेवा केंद्र प्राधिकरण (सूचीबद्धता) (संशोधन) विनियम, 2025

फा. सं. आईएफएससीए/जीएन/2025/011.—भारतीय प्रतिभूति और विनिमय बोर्ड अधिनियम, 1992 (1992 का 15) की धारा 30, धारा 11क और धारा 28ग के साथ पठित अंतरराष्ट्रीय वित्तीय सेवा केंद्र प्राधिकरण अधिनियम, 2019 (2019 का 50) की धारा 28 की उपधारा (1) के साथ पठित धारा 12 की उपधारा (1) और धारा 13 की उपधारा (1) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, अंतरराष्ट्रीय वित्तीय सेवा केंद्र प्राधिकरण, अंतरराष्ट्रीय वित्तीय सेवा केंद्र प्राधिकरण (सूचीबद्धता) विनियम, 2024 (जिसे आगे मुख्य विनियम कहा जाएगा) में और संशोधन करने के लिए निम्नलिखित विनियम बनाता है: अर्थात्:-

1. (1) इन विनियमों को अंतरराष्ट्रीय वित्तीय सेवा केंद्र प्राधिकरण (सूचीकरण) (संशोधन) विनियम, 2025 कहा जाएगा। (2) ये राजपत्र में प्रकाशन की तारीख से प्रवृत्त होंगे।

2. मूल विनियमों के विनियम 16 के उप-विनियम (8) में, शब्द "एक सौ पैंतीस" को शब्द "एक सौ अस्सी" से प्रतिस्थापित किया जाएगा।

3. मूल विनियमों के विनियम 25 के उप-विनियम (2) में, बाद शब्द "पाँच" को शब्द "आठ" से प्रतिस्थापित किया जाएगा।

4. मूल विनियमों के विनियम 52 के उप-विनियम (3) में, शब्द "पाँच" को शब्द "आठ" से प्रतिस्थापित किया जाएगा।

5. मूल विनियमों के विनियम 65 में, शब्द "पाँच" को शब्द "आठ" से प्रतिस्थापित किया जाएगा।

6. मूल विनियमों के विनियम 96 में, उप-विनियम (2) को निम्नलिखित उप-विनियम से प्रतिस्थापित किया जाएगा, अर्थात्:-

   “(2) सूचीबद्ध एंटिटी अपने निदेशक मंडल के अनुमोदन के तुरंत बाद, परंतु किसी भी स्थिति में प्रथम छमाही की समाप्ति के बाद पैंतालीस दिनों के भीतर, मान्यता प्राप्त स्टॉक एक्सचेंज(जों) को वित्तीय वर्ष की पहली छमाही के अपने वित्तीय विवरणों को प्रकट करेगी।”

7. मूल विनियमों के विनियम 107 में, उप-विनियम (2) को निम्नलिखित उप-विनियम से प्रतिस्थापित किया जाएगा, अर्थात्:-

   “(2) सूचीबद्ध एंटिटी अपने निदेशक मंडल के अनुमोदन के तुरंत बाद, परंतु किसी भी स्थिति में प्रथम छमाही की समाप्ति के बाद पैंतालीस दिनों के भीतर, मान्यता प्राप्त स्टॉक एक्सचेंज(जों) को वित्तीय वर्ष की पहली छमाही के अपने वित्तीय विवरणों को प्रकट करेगी।”

INTERNATIONAL FINANCIAL SERVICES CENTRES AUTHORITY NOTIFICATION Gandhinagar, the 13th October, 2025

International Financial Services Centres Authority (Listing) (Amendment) Regulations, 2025

F. No. IFSCA/GN/2025/011.—In exercise of the powers conferred by sub-section (1) of Section 28 read with sub-section (1) of Section 12 and sub-section (1) of Section 13 of the International Financial Services Centres Authority Act, 2019 (50 of 2019), read with Section 30, Section 11A and Section 28C of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the International Financial Services Centres Authority hereby makes the following regulations, further to amend the International Financial Services Centres Authority (Listing) Regulations, 2024 (hereinafter referred to as the principal regulations), namely:-

1. (1) These regulations may be called the International Financial Services Centres Authority (Listing) (Amendment) Regulations, 2025. (2) They shall come into force on the date of their publication in the Official Gazette.

2. In sub-regulation (8) of regulation 16 of the principal regulations, for the words “one hundred and thirty five”, the words “one hundred and eighty” shall be substituted.

3. In sub-regulation (2) of regulation 25 of the principal regulations, for the word “five”, the word “eight” shall be substituted.

4. In sub-regulation (3) of regulation 52 of the principal regulations, for the word “five”, the word “eight” shall be substituted.

5. In regulation 65 of the principal regulations, for the word “five”, the word “eight” shall be substituted.

6. In regulation 96 of the principal regulations, for sub-regulation (2) the following sub-regulation shall be substituted, namely:-

   “(2) The Listed Entity shall disclose its financial statements for first half of the financial year to the recognised stock exchange(s) immediately after the approval of its board of directors, but in any event not later than forty five days after the end of first half year.”

7. In regulation 107 of the principal regulations, for sub-regulation (2) the following sub-regulation shall be substituted, namely:-

   “(2) The Listed Entity shall disclose its financial statements for first half of the financial year to the recognised stock exchange(s) immediately after the approval of its board of directors, but in any event not later than forty five days after the end of first half year.”
