G.S.R. 476(E)-The Companies (Adjudication of Penalties) Amendment Rules, 2024 — The Companies Act, 2013

सा.का.नि. 476(अ).—केंद्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 454 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (शास्तियों का न्यायनिर्णयन) नियम, 2014 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्:-

1. (1) इन नियमों का संक्षिप्त नाम कंपनी (शास्तियों का न्यायनिर्णयन) संशोधन नियम, 2024 है।

(2) ये नियम तारीख 16 सितंबर, 2024 से प्रवृत्त होंगे।

2. कंपनी (शास्तियों का न्यायनिर्णयन) नियम, 2014 में, —

(i) नियम 3 के पश्चात, निम्नलिखित नियम अंतःस्थापित किया जाएगा, अर्थात्: -

"3क - न्यायनिर्णयन मंच.- (1) कंपनी (शास्तियों का न्यायनिर्णयन) संशोधन नियम, 2024 के प्रारंभ होने पर, इन नियमों के अधीन न्यायनिर्णयन अधिकारी और प्रादेशिक निदेशक की सभी कार्यवाहियां (नोटिस जारी करना, उत्तर या दस्तावेज फाइल करना, साक्ष्य, सुनवाई करना, साक्षियों की उपस्थिति, आदेश पारित करना और शास्ति का भुगतान सहित) इस प्रयोजन के लिए केंद्रीय सरकार द्वारा विकसित ई-न्यायनिर्णयन मंच के माध्यम से ही इलेक्ट्रॉनिक मोड में होंगी।

(2) यदि किसी ऐसे व्यक्ति का, जिसे इन नियमों के अधीन नोटिस या सम्मन जारी किया जाना अपेक्षित है, ई-मेल पता उपलब्ध नहीं है, तो न्यायनिर्णयन अधिकारी अंतिम सूचित किए गए पते या अभिलेखों में उपलब्ध पते पर डाक द्वारा सूचना भेजेगा, और अधिकारी ऐसी सूचना की एक प्रति इलेक्ट्रॉनिक अभिलेख में उप-नियम (1) में निर्दिष्ट ई-न्यायनिर्णयन मंच में सुरक्षित रखेगा:

परंतु यह कि संबंधित व्यक्ति का कोई पता उपलब्ध न होने की स्थिति में यह नोटिस ई-न्यायनिर्णयन मंच पर रख दिया जाएगा।

(ii) उक्त नियमों के उपाबंध के स्थान पर, निम्नलिखित उपाबंध रखा जाएगा, अर्थात्:

टिप्पण: कंपनी अधिनियम, 2013 की धारा 447 के साथ पठित धारा 448 और 449 के उपबंधों की ओर ध्यान आकर्षित किया जाता है जो क्रमशः झूठे बयान / प्रमाण पत्र के लिए दंड और झूठे साक्ष्य के लिए सजा का उपबंध करते हैं।

NOTIFICATION

New Delhi, the 5th August, 2024

G.S.R. 476(E).—In exercise of the powers conferred by section 454 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Adjudication of Penalties) Rules, 2014, namely: -

1. (1) These rules may be called the Companies (Adjudication of Penalties) Amendment Rules, 2024.

(2) They shall come into force from the 16th day of September, 2024.

2. In the Companies (Adjudication of Penalties) Rules, 2014,―

(i) after rule 3, the following rule shall be inserted, namely:-

“3A. Adjudication Platform.- (1) On the commencement of the Companies (Adjudication of Penalties) Amendment Rules, 2024, all proceedings (including issue of notices, filing replies or documents, evidences, holding of hearing, attendance of witnesses, passing of orders and payment of penalty) of adjudicating officer and Regional Director under these rules shall take place in electronic mode only through the e-adjudication platform developed by the Central Government for this purpose.

(2) In case the e-mail address of any person to whom a notice or summons is required to be issued under these rules is not available, the adjudicating officer shall send the notice by post at the last intimated address or address available in the records and the officer shall preserve a copy of such notice in the electronic record in the e-adjudication platform referred to in sub-rule (1):

Provided that in case no address of the person concerned is available, the notice shall be placed on the e-adjudication platform.”

(ii) For the Annexure to the said rules, the following Annexure shall be substituted, namely:-
