नई दिल्ली, 12 अगस्त, 2024

सा.का.नि. 491(अ).— केंद्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 380 की उपधारा (1) के खंड (ग) और खंड (ज), और उपधारा (3), धारा 381 की उपधारा (1) के खंड (क) और उपधारा (3), धारा 385, धारा 386 के खंड (क), धारा 389 और धारा 390 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए कंपनी (विदेशी कंपनियों का रजिस्ट्रीकरण) नियम, 2014 में आगे और संशोधन करने हेतु निम्नलिखित नियम बनाती है, अर्थात:-

1. (1) इन नियमों का नाम कंपनी (विदेशी कंपनियों का रजिस्ट्रीकरण) संशोधन नियम, 2024 है। (2) ये नियम 09 सितंबर, 2024 को प्रवृत्त होंगे।

2. कंपनी (विदेशी कंपनियों का रजिस्ट्रीकरण) नियम, 2014 (इसके पश्चात् उक्त नियम कहा गया है) में,-

   (i) नियम 3 के, उपनियम (3) में, ‘रजिस्ट्रार’ शब्द के स्थान पर, ‘रजिस्ट्रार, केंद्रीय रजिस्ट्रीकरण केंद्र’ शब्दों को रखा जाएगा।

   (ii) नियम 8 के, उपनियम (1) में, निम्नलिखित परंतुक अंतःस्थापित किया जाएगा, अर्थात:-

“परंतु यह कि नियम 3 के उपनियम (3) में विनिर्दिष्ट विदेशी कंपनी द्वारा रजिस्ट्रीकरण के लिए दस्तावेज, प्ररूप एफसी-1 में रजिस्ट्रार, केंद्रीय रजिस्ट्रीकरण केंद्र को सौंपे जाएंगे।”।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION

New Delhi, the 12th August, 2024

G.S.R. 491(E).— In exercise of the powers conferred by clause (c) and clause (h) of sub-section (1) and sub-section (3) of section 380, clause (a) of sub-section (1) and sub-section (3) of section 381, section 385, clause (a) of section 386, section 389 and section 390, read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Registration of Foreign Companies) Rules, 2014 namely: -

1. (1) These rules may be called the Companies (Registration of Foreign Companies) Amendment Rules, 2024. (2) They shall come into force with effect from 09th day of September, 2024.

2. In the Companies (Registration of Foreign Companies) Rules, 2014, -

   (i) in rule 3, in sub-rule (3), for the word, “registrar”, the words, “Registrar, Central Registration Centre” shall be substituted.

   (ii) in rule 8, in sub-rule (1), the following proviso shall be inserted, namely:-

“Provided that the documents for registration by a foreign company referred to in sub-rule (3) of rule (3) shall be delivered in Form FC-1 to the Registrar, Central Registration Centre.”.
