सा. का. नि. 552(अ).—केंद्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 125 की उप-धारा (1), उप-धारा (2), उप-धारा (3), उप-धारा (4), उप-धारा (8), उप-धारा (9), उप-धारा (10) और उप-धारा (11) और धारा 124 की उप-धारा (6) के अधीन प्रदत्त शक्तियों का प्रयोग करते हुए विनिधानकर्ता शिक्षा और संरक्षण निधि प्राधिकरण (लेखा, लेखापरीक्षा, अंतरण और प्रतिदाय) नियम, 2016 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्: -

1. (1) इन नियमों का संक्षिप्त नाम विनिधानकर्ता शिक्षा और संरक्षण निधि प्राधिकरण (लेखा, लेखापरीक्षा, अंतरण और प्रतिदाय) दूसरा संशोधन नियम, 2024 है। (2) ये नियम राजपत्र में इनके प्रकाशन की तारीख को प्रवृत्त होंगे।

2. विनिधानकर्ता शिक्षा और संरक्षण निधि प्राधिकरण (लेखा, लेखापरीक्षा, अंतरण और प्रतिदाय) नियम, 2016 (जिसे इसमें इसके पश्चात् उक्त नियम कहा गया है) की, अनुसूची II में, -

(1) "शेयर" शब्द के स्थान पर, जहां-जहां वे आते हैं "प्रतिभूतियां" शब्द रखा जाएगा।

(2) भाग क में, -

(i) मद 2 में,-

(क) उप-मद '2.2' के, खंड (क) में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(ख) उपमद, ‘2.3’ में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(ग) "स्पष्टीकरण" में खंड (2) के स्थान पर, निम्नलिखित खंड रखा जाएगा, अर्थात्:-

"(2) ऐसे मामलों में जहां वसीयत की एक प्रति, जो भारतीय उत्तराधिकार अधिनियम, 1925 (1925 का 39) के निबंधनों में लागू की जा सकेगी, प्रस्तुत की जाती है, वहां ऐसे दावेदार, जिसे प्रतिभूतियां प्रेषित की जाती हैं, द्वारा नोटरीकृत क्षतिपूर्ति बांड उसके साथ संलग्न किया जाएगा।

(3) ऐसे मामलों में जहां ऐसे राजस्व प्राधिकारी, जो अधिकारिता रखने वाले तहसीलदार से नीचे की रैंक का न हो, द्वारा जारी विधिक उत्तराधिकार प्रमाणपत्र की एक प्रति प्रस्तुत की गई है वहां उसके साथ निम्नलिखित संलग्न होंगे:-

(क) विधिक उत्तराधिकारी(यों)/दावेदार(रों) जिसे प्रतिभूतियां प्रेषित की जाती हैं, से नोटरीकृत क्षतिपूर्ति बांड; और

(ख) दावेदारों के सिवाय (सभी विधिक उत्तराधिकारियों) से अनापत्ति प्रमाणपत्र, यह कहते हुए कि उन्होंने प्रतिभूतियों के हस्तांतरण के दावे के अपने अधिकारों को त्याग दिया है, जो नोटरी पब्लिक या राजपत्रित अधिकारी द्वारा विधिवत सत्यापित हो।"

(4) आवेदन की तारीख पर प्रतिभूतियों का मूल्य सूचीबद्ध प्रतिभूतियों के लिए आवेदन में ऐसे प्रस्तुत करने की तारीख से एक दिन पूर्व मान्यता प्राप्त स्टॉक एक्सचेंज में से किसी एक पर ऐसी प्रतिभूतियों के समापन मूल्य के आधार पर आवेदक द्वारा विरोपित किया जाएगा और असूचीबद्ध प्रतिभूतियों के लिए, मूल्य अंकित मूल्य या प्रतिभूति के परिपक्वता मूल्य, जो भी अधिक हो, के आधार पर विरोपित किया जाएगा।" ।

(ii) मद 4 में,-

(क) उप-मद 4.2 में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(ख) उप-मद 4.3 में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(ग) "स्पष्टीकरण" में खंड (2) के स्थान पर, निम्नलिखित खंड रखा जाएगा, अर्थात्:-

(क) विधिक उत्तराधिकारी(यों)/दावेदार(रों) जिसे प्रतिभूतियां प्रेषित की जाती हैं, से नोटरीकृत क्षतिपूर्ति बांड; और

(ख) दावेदारों के सिवाय (सभी विधिक उत्तराधिकारियों) से अनापत्ति प्रमाणपत्र, यह कहते हुए कि उन्होंने प्रतिभूतियों के हस्तांतरण के दावे के अपने अधिकारों को त्याग दिया है, जो नोटरी पब्लिक या राजपत्रित अधिकारी द्वारा विधिवत सत्यापित हो।"

(4) आवेदन की तारीख पर प्रतिभूतियों का मूल्य सूचीबद्ध प्रतिभूतियों के लिए आवेदन में ऐसे प्रस्तुत करने की तारीख से एक दिन पूर्व मान्यता प्राप्त स्टॉक एक्सचेंज में से किसी एक पर ऐसी प्रतिभूतियों के समापन मूल्य के आधार पर आवेदक द्वारा विरोपित किया जाएगा और असूचीबद्ध प्रतिभूतियों के लिए, मूल्य अंकित मूल्य या प्रतिभूति के परिपक्वता मूल्य, जो भी अधिक हो, के आधार पर विरोपित किया जाएगा।" ।

(3) भाग ख में,-

(i) “5,00,000 रुपए (पांच लाख रुपए केवल) अंकों, शब्दों और कोष्ठक, जहां-जहां वे आते हैं, के स्थान पर, “15,00,000 रुपए (पंद्रह लाख रुपए केवल) अंक, शब्द और कोष्ठक रखे जाएंगे।

(ii) मद 2 में,-

(क) उप-मद '2.2' के, खंड (क) में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(क) विधिक उत्तराधिकारी(यों)/दावेदार(रों) जिसे प्रतिभूतियां प्रेषित की जाती हैं, से नोटरीकृत क्षतिपूर्ति बांड; और

(ख) दावेदारों के सिवाय (सभी विधिक उत्तराधिकारियों) से अनापत्ति प्रमाणपत्र, यह कहते हुए कि उन्होंने प्रतिभूतियों के हस्तांतरण के दावे के अपने अधिकारों को त्याग दिया है, जो नोटरी पब्लिक या राजपत्रित अधिकारी द्वारा विधिवत सत्यापित हो।"

(4) आवेदन की तारीख पर प्रतिभूतियों का मूल्य सूचीबद्ध प्रतिभूतियों के लिए आवेदन में ऐसे प्रस्तुत करने की तारीख से एक दिन पूर्व मान्यता प्राप्त स्टॉक एक्सचेंज में से किसी एक पर ऐसी प्रतिभूतियों के समापन मूल्य के आधार पर आवेदक द्वारा विरोपित किया जाएगा और असूचीबद्ध प्रतिभूतियों के लिए, मूल्य अंकित मूल्य या प्रतिभूति के परिपक्वता मूल्य, जो भी अधिक हो, के आधार पर विरोपित किया जाएगा।" ।

(iii) मद 4 में,-

(क) उप-मद '4.2' के, खंड (क) में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(ख) उपमद, ‘4.3’ में, "अधिकरण के किसी अन्य डिक्री या आदेश के निबंधनों में" शब्द के पश्चात्, "या ऐसा राजस्व प्राधिकारी जो अधिकारिता रखने वाले तहसीलदार की रैंक से नीचे का न हो द्वारा जारी किया गया विधिक उत्तराधिकार प्रमाणपत्र", शब्द अंत:स्थापित किए जाएंगे।

(क) विधिक उत्तराधिकारी(यों)/दावेदार(रों) जिसे प्रतिभूतियां प्रेषित की जाती हैं, से नोटरीकृत क्षतिपूर्ति बांड; और

(ख) दावेदारों के सिवाय (सभी विधिक उत्तराधिकारियों) से अनापत्ति प्रमाणपत्र, यह कहते हुए कि उन्होंने प्रतिभूतियों के हस्तांतरण के दावे के अपने अधिकारों को त्याग दिया है, जो नोटरी पब्लिक या राजपत्रित अधिकारी द्वारा विधिवत सत्यापित हो।"

(4) आवेदन की तारीख पर प्रतिभूतियों का मूल्य सूचीबद्ध प्रतिभूतियों के लिए आवेदन में ऐसे प्रस्तुत करने की तारीख से एक दिन पूर्व मान्यता प्राप्त स्टॉक एक्सचेंज में से किसी एक पर ऐसी प्रतिभूतियों के समापन मूल्य के आधार पर आवेदक द्वारा विरोपित किया जाएगा और असूचीबद्ध प्रतिभूतियों के लिए, मूल्य अंकित मूल्य या प्रतिभूति के परिपक्वता मूल्य, जो भी अधिक हो, के आधार पर विरोपित किया जाएगा।" ।

3. उक्त नियमों की अनुसूची 3 में,

(1) "शेयर" शब्द के स्थान पर, जहां-जहां वे आते हैं, "प्रतिभूतियां" शब्द रखा जाएगा।

(2) मद '1' में, "प्रमाणपत्र की सुभिन्न संख्याएं" शब्द के पश्चात, "यदि शेयरों का बाजार मूल्य पांच लाख रुपये से अधिक है" शब्द अंत:स्थापित किए जाएंगे;

(3) मद '2' का लोप किया जाएगा;

(4) मद 4 में, “राष्ट्रव्यापी परिचालन वाले अंग्रेजी भाषा के कम से कम राष्ट्रीय दैनिक समाचार पत्र में और कंपनी के रजिस्ट्रीकृत कार्यालय वाले स्थान पर, वहां के एक क्षेत्रीय भाषा के दैनिक समाचार पत्र में जारी” शब्दों के स्थान पर, “व्यापक रूप से परिचालित समाचारपत्र में प्रतिभूतियों की हानि के संबंध में जारी” शब्द रखे जाएंगे।

(5) मद '4' के पश्चात्, निम्नलिखित स्पष्टीकरण अंत:स्थापित किया जाएगा, अर्थात्:-

"स्पष्टीकरण I: एक विदेशी नागरिक या अनिवासी भारतीय, मद 1 में उल्लिखित दस्तावेजों के बदले, वैध पासपोर्ट और विदेशी पते के सबूत की स्व-सत्यापित प्रतियों के साथ, खो गई या गुम या चोरी या चोरी की गई प्रतिभूतियों की स्व-घोषणा प्रदान करने की अनुमति दी जाएगी, जिसे उनके निवास के देश में विधिवत नोटरीकृत या सत्यापन या कांसुलराइज्ड किया जाएगा।

स्पष्टीकरण II: आवेदन की तारीख पर प्रतिभूतियों का मूल्य सूचीबद्ध प्रतिभूतियों के लिए आवेदन में ऐसे प्रस्तुत करने की तारीख से एक दिन पूर्व मान्यता प्राप्त स्टॉक एक्सचेंज में से किसी एक पर ऐसी प्रतिभूतियों के समापन मूल्य के आधार पर आवेदक द्वारा विरोपित किया जाएगा और असूचीबद्ध प्रतिभूतियों के लिए, मूल्य अंकित मूल्य या प्रतिभूति के परिपक्वता मूल्य, जो भी अधिक हो, के आधार पर विरोपित किया जाएगा।"

4. उक्त नियमों की, अनुसूची 4 में पैरा 1 में, "रिपोर्ट प्राधिकरण प्रस्तुत करेगी।" शब्दों के पश्चात, निम्नलिखित अंत:स्थापित किया जाएगा, अर्थात्:-

"कंपनी यथास्थिति, नियम 7 के उप-नियम (3) के अधीन सत्यापन रिपोर्ट या उक्त नियम के उप-नियम (7) के दूसरे परंतुक के अधीन पुनरीक्षित सत्यापन रिपोर्ट के संबंध में ऐसे दावे से उत्पन्न जोखिम के लिए बीमा कंपनी से विशेष आकस्मिक बीमा पॉलिसी लेगी"।

New Delhi, the 9th September, 2024.

G.S.R. 552(E).— In exercise of the powers conferred by sub-sections (1), (2), (3), (4), (8), (9), (10) and (11) of section 125 and sub-section (6) of section 124 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016, namely:-

1. (1) These rules may be called the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Second Amendment Rules, 2024. (2) These rules shall come into force on the date of their publication in Official Gazette.

2. In the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (hereinafter referred to as the said rules), in Schedule II,–

(1) for the word “shares”, wherever it occurs, the word “securities”, shall be substituted; (2) In Part A,– (i) in item 2,– (a) in sub-item 2.2, in clause (a), after the word “Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (b) in sub-item 2.3, after the word “Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (c) in the “Explanation”, for clause (2), the following clauses shall be substituted, namely:– “(2) In cases where a copy of Will is submitted as may be applicable in terms of the Indian Succession Act, 1925 (39 of 1925), the same shall be accompanied with a notarised indemnity bond from the claimant to whom the securities are transmitted. (3) In cases where a copy of legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction is submitted, the same shall be accompanied with– (a) a notarised indemnity bond from the legal heir or claimant to whom the securities are transmitted; and (b) a no objection certificate from all legal heirs other than claimants, stating that they have relinquished their rights to the claim for transmission of securities, duly attested by a notary public or by a gazetted officer. (4) The value of the securities as on the date of application shall be quantified by the applicant on the basis of the closing price of such securities at any one of the recognised stock exchange a day prior to the date of such submission in the application, for listed securities and for unlisted securities, the value shall be quantified basis on the face value or the maturity value of the security, whichever is more.”; (ii) in item 4,– (a) in sub-item 4.2, after the word “Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (b) in sub-item 4.3, after the word “Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (c) in the “Explanation”, for clause (2), the following clauses shall be substituted, namely:– “(2) In cases where a copy of Will is submitted as may be applicable in terms of the Indian Succession Act,1925 (39 of 1925), the same shall be accompanied with a notarised indemnity bond from the claimant to whom the securities are transmitted. (3) In cases where a copy of legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction is submitted, the same shall be accompanied with: (a) a notarised indemnity bond from the legal heir or claimant to whom the securities are transmitted; (b) a no objection certificate from all non-claimants, stating that they have relinquished their rights to the claim for transmission of securities, duly attested by a notary public or by a gazetted officer. (4) The value of the securities as on the date of application shall be quantified by the applicant on the basis of the closing price of such securities at any one of the recognised stock exchange a day prior to the date of such submission in the application, for listed securities and for unlisted securities, the value shall be quantified basis on the face value or the maturity value of the security, whichever is more.”; (3) In Part B,– (i) for the letters, figures, brackets and words, “Rs.5,00,000 (rupees five lakhs only),” wherever they occur, the letters, figures, brackets and words, “Rs.15,00,000 (rupees fifteen lakhs only), shall be substituted; (ii) in item 2,– (a) in sub-item 2.2, in clause (a), after the word “ Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (b) in sub-item 2.3, after the word “ Tribunal”, the words “ or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (c) in the “Explanation”, for clause (2), the following clauses shall be substituted, namely:– “(2) In cases where a copy of Will is submitted as may be applicable in terms of the Indian Succession Act, 1925 (39 of 1925), the same shall be accompanied with a notarised indemnity bond from the claimant to whom the securities are transmitted. (3) In cases where a copy of legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction is submitted, the same shall be accompanied with: (a) a notarised indemnity bond from the legal heir or claimant to whom the securities are transmitted; (b) a no objection certificate from all non-claimants, stating that they have relinquished their rights to the claim for transmission of securities, duly attested by a notary public or by a gazetted officer. (4) The value of the securities as on the date of application shall be quantified by the applicant on the basis of the closing price of such securities at any one of the recognised stock exchange a day prior to the date of such submission in the application, for listed securities and for unlisted securities, the value shall be quantified basis on the face value or the maturity value of the security, whichever is more.”; (iii) in item 4,– (a) in sub-item 4.2, in clause (a), after the word “Tribunal”, the words “or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (b) in sub-item 4.3, after the word “Tribunal”, the words “ or legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction” shall be inserted; (c) in the “Explanation”, for clause (2), the following clauses shall be substituted, namely:– “(2) In cases where a copy of Will is submitted as may be applicable in terms of the Indian Succession Act, 1925 (39 of 1925), the same shall be accompanied with a notarised indemnity bond from the claimant to whom the securities are transmitted. (3) In cases where a copy of legal heir certificate issued by the revenue authority not below the rank of Tahsildar having jurisdiction is submitted, the same shall be accompanied with: (a) a notarised indemnity bond from the legal heir or claimant to whom the securities are transmitted; (b) a no objection certificate from all non-claimants, stating that they have relinquished their rights to the claim for transmission of securities, duly attested by a notary public or by a gazetted officer. (4) The value of the securities as on the date of application shall be quantified by the applicant on the basis of the closing price of such securities at any one of the recognised stock exchange a day prior to the date of such submission in the application, for listed securities and for unlisted securities, the value shall be quantified basis on the face value or the maturity value of the security, whichever is more.”.

3. In Schedule III of the said rules,– (1) for the word, “shares” wherever it occurs, the word “securities”, shall be substituted; (2) in item 1, after the word “certificate”, the words “if the market value of the shares is greater than five lakh rupees” shall be inserted; (3) item 2 shall be omitted; (4) in item 4, for the words, “issued in at least one English language national daily newspaper having nationwide circulation and in one regional language daily newspaper published in the place of registered office of company”, the words “regarding loss of securities in a widely circulated newspaper” shall be substituted; (5) after item 4, the following explanations shall be inserted, namely: - “Explanation I: A foreign national or non-resident Indian, in lieu of documents mentioned in item 1, shall be permitted to provide self-declaration of securities lost or misplaced or stolen which shall be duly notarised or apostilled or consularised in their country of residence, along with self-attested copies of valid passport and overseas address proof. Explanation II: The value of the securities as on the date of application shall be quantified by the applicant based on the closing price of such securities at any one of the recognised stock exchange a day prior to the date of such submission in the application, for listed securities and for unlisted securities, the value shall be quantified basis on the face value of the maturity value of the securities, whichever is more.” .

4. In Schedule IV to the said rules, in paragraph 1, after the words “report to the Authority.”, the following shall be inserted, namely:– “The company shall take special contingency insurance policy from the insurance company towards the risk arising out of such claim in respect of verification report under sub-rule (3) of rule 7 or the revised verification report under the second proviso of sub-rule (7) of the said rule, as the case may be”.
