सा.का.नि. 579(अ).— केंद्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 469 की उपधारा (1) और उपधारा (2) के साथ पठित धारा 3, धारा 4, धारा 5 की उपधारा (5) और उपधारा 6, धारा 7 की उपधारा (1) और उपधारा (2), धारा 8 की उपधारा (1) और उपधारा (2), धारा 12 की उपधारा (2), उपधारा (3), उपधारा (4), उपधारा (5) और उपधारा (9), धारा 13 की उपधारा (3), उपधारा (4) और उपधारा (5) के परंतुक, धारा 14 की उपधारा (2), धारा 17 की उपधारा (1) और धारा 20 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (निगमन) नियम, 2014 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात्:-

1. (1) इन नियमों का संक्षिप्त नाम कंपनी (निगमन) दूसरा संशोधन नियम, 2025 है। (2) ये तारीख 15 सितम्बर, 2025 को प्रवृत्त होंगे।

2. कंपनी (निगमन) नियम, 2014 में, प्ररूप सं. आरडी-1 के स्थान पर, निम्नलिखित प्ररूप को रखा जाएगा, अर्थात् :-

टिप्पण: मूल नियम भारत के राजपत्र, असाधारण, भाग-2, खंड 3, उपखंड (i) में संख्यांक सा.का.नि.250(अ) तारीख 31 मार्च, 2014 द्वारा प्रकाशित किए गए थे और सा.का.नि. सं. 426(अ) तारीख 27 जून, 2025 द्वारा अंतिम बार संशोधित किए गए।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION

New Delhi, the 26th August, 2025

G.S.R. 579(E).— In exercise of the powers conferred by section 3, section 4, sub-sections (5) and (6) of section 5, section 6, sub-sections (1) and (2) of section 7, sub-sections (1) and (2) of section 8, sub-sections (2), (3), (4), (5) and (9) of section 12, sub-sections (3), (4) and proviso to sub-section (5) of section 13, sub-section (2) of section 14, sub-section (1) of section 17, section 20 read with sub-sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Incorporation) Rules, 2014, namely:-

1. (1) These rules may be called the Companies (Incorporation) Second Amendment Rules, 2025. (2) They shall come into force on the 15th day of September 2025.

2. In the Companies (Incorporation) Rules, 2014, for Form No. RD-1, the following Form shall be substituted, namely: —

Note : The principal rules were published in the Gazette of India, Extraordinary, Part II, Section 3, Sub-section (i) vide number G.S.R. 250(E), dated 31st March, 2014 and last amended vide G.S.R 426(E), dated 27th June, 2025.
