सा.का.नि.603(अ).––केन्द्रीय सरकार, कंपनी अधिनियम, 2013 (2013 का 18) की धारा 233 के साथ पठित धारा 469 की उपधारा (1) और (2) द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (समझौते, ठहराव और समामेलन) नियम, 2016 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है, अर्थात:-

1. संक्षिप्त नाम और प्रारंभ.– (1) इन नियमों का संक्षिप्त नाम कंपनी (समझौते, ठहराव और समामेलन) संशोधन नियम, 2025 है।

(2) ये नियम राजपत्र में प्रकाशन की तारीख से प्रवृत होंगे।

2. कंपनी (समझौते, ठहराव और समामेलन) नियम, 2016 (जिसे इसमें इसके पश्चात "उक्त नियम" कहा गया है।) में, नियम 25 में,

(क) उप-नियम (1) के स्थान पर निम्नलिखित उप-नियम रखा जाएगा, अर्थात:

“(1) अधिनियम की धारा 233 की उपधारा (1) के खंड (क) के अधीन प्रस्तावित स्कीम की सूचना प्ररूप संख्या सीएए-9 में दिया जाएगा, जिससे रजिस्ट्रार और शासकीय समापक या इस स्कीम से प्रभावित व्यक्तियों की आपत्ति या सुझाव प्राप्त हो सके:

परन्तु किसी क्षेत्रीय विनियामक जैसे भारतीय रिजर्व बैंक, प्रतिभूति और विनिमय बोर्ड, भारतीय बीमा विनियामक और विकास प्राधिकरण या पेंशन निधि विनियामक और विकास प्राधिकरण द्वारा, विनियमित कंपनी के मामले में, संबंधित विनियामक को और सूचीबद्ध कंपनियों के मामले में संबंधित स्टॉक एक्सचेंजों को धारा 233 की उप-धारा (1) के खंड (क) में विनिर्दिष्ट अवधि के भीतर आपत्तियों या सुझावों के लिए नोटिस जारी किया जाएगा।”।

(ख) उप-नियम (1क) में,-

(i) खंड (ii) में, "स्टार्ट-अप कंपनी" शब्दों के स्थान पर, "स्टार्ट-अप कंपनी; या" शब्द रखे जाएंगे,

(ii) खंड (ii) के पश्चात, निम्नलिखित खंड अंत:स्थापित किए जाएंगे, अर्थात:-

“(iii) अधिनियम की धारा 8 में निर्दिष्ट कंपनी के अतिरिक्त एक या अधिक अ-सूचीबद्ध कंपनी के साथ अधिनियम की धारा 8 में निर्दिष्ट कंपनी के अतिरिक्त एक या अधिक अ-सूचीबद्ध कंपनी, जहां विलय में शामिल प्रत्येक कंपनी--:-

(क) के पास कुल मिलाकर दो सौ करोड़ रुपये से अधिक बकाया ऋण, डिबेंचर या जमा राशि है, और

(ख) उप-खंड (क) में निर्दिष्ट ऋण, डिबेंचर या जमा राशि के पुनर्भुगतान में कोई चूक नहीं है:

धारा 233 की उपधारा (1) के खंड (क) में निर्दिष्ट सूचना की तारीख से तीस दिनों के भीतर तथा अधिनियम की धारा 233 की उपधारा (2) के अधीन स्कीम फाइल करने की तारीख को;

परन्तु कंपनी के लेखापरीक्षक से यह प्रमाण पत्र कि कंपनी इस खंड में निर्दिष्ट शर्तों को पूरा करती है, अधिनियम की धारा 233 की उपधारा (2) में निर्दिष्ट अनुमोदित स्कीम की प्रति के साथ प्ररूप संख्या सीएए-10क में फाइल किया जाएगा;

(iv) एक होल्डिंग कंपनी (सूचीबद्ध या - अ-सूचीबद्ध) और एक सहायक कंपनी (सूचीबद्ध या अ-सूचीबद्ध):

परन्तु यह खंड वहां लागू नहीं होगा जहां हस्तांतरणकर्ता कंपनी या कंपनियां सूचीबद्ध हैं;

(v) किसी होल्डिंग कंपनी की एक या अधिक सहायक कंपनी, उसी होल्डिंग कंपनी की एक या अधिक अन्य सहायक कंपनी के साथ, जहां हस्तांतरणकर्ता कंपनी या कंपनियां सूचीबद्ध नहीं हैं;

उदाहरण:-

कंपनी 'डी', कंपनी 'सी' की सहायक कंपनी है और कंपनी 'सी', कंपनी 'बी' की सहायक कंपनी है और बदले में कंपनी 'बी', कंपनी 'ए' की पूर्ण स्वामित्व वाली सहायक कंपनी (डब्ल्यूओएस) है।

इस मामले में, कंपनी 'बी', कंपनी 'ए' की पूर्ण स्वामित्व वाली सहायक कंपनी है। कंपनी 'सी' और कंपनी 'डी' एक ही होल्डिंग कंपनी, अर्थात कंपनी 'ए' की सहायक कंपनियां हैं।

खंड में उल्लिखित शर्त के अधीन, कंपनी 'ए', कंपनी 'बी', कंपनी 'सी' और कंपनी 'डी' या उसके किसी संयोजन के बीच विलय या समामेलन या हस्तांतरण या विभाजन की स्कीम इस खंड के अंतर्गत कवर की जाएंगी।

(vi) भारत के बाहर निगमित अंतरक विदेशी कंपनी का, जो एक होल्डिंग कंपनी है, अंतरिती भारतीय कंपनी जो भारत में निगमित उसकी पूर्ण स्वामित्व वाली सहायक कंपनी है के साथ विलय, जिसे नियम 25क के उपनियम (5) में निर्दिष्ट किया गया है;”

(ग) उपनियम (2) में, "प्ररूप संख्या सीएए.10" में शब्दों, अक्षरों और अंकों के पश्चात्, कोष्ठक, शब्द, अक्षर और अंक “(प्रपत्र जीएनएल-1 के अनुलग्नक के रूप में)” अंत:स्थापित किए जाएंगे;

(घ) उपनियम (4) में, खंड (क) के स्थान पर, निम्नलिखित खंड रखा जाएगा, अर्थात:-

“(क) अधिनियम की धारा 233 की उपधारा (2) के प्रयोजनों के लिये अंतरणकर्ता कंपनी सदस्यों या सदस्यों की वर्ग अथवा लेनदारों या लेनदारों की वर्ग की बैठक समाप्ति के पश्चात पंद्रह दिनों के भीतर सदस्यों और लेनदारों द्वारा यथाअनुमोदित स्कीम की एक प्रति प्रत्येक बैठक के परिणाम की एक रिपोर्ट और प्ररूप संख्या सीएए.11 (प्ररूप आरडी-1 के अनुलग्नक के रूप मे) रजिस्ट्रीकृत मूल्यांकन की रिपोर्ट के साथ, कंपनी (रजिस्ट्रीकरण कार्यालय और फीस) नियम, 2014 के अधीन विनिर्दिष्टानुसार फीस सहित केन्द्रीय सरकार को प्ररूप संख्या सीएए-11 मे फाइल करेगी।

परन्तु उप-नियम (1) के परंतुक में निर्दिष्ट कंपनी के मामले में, यथास्थिति, क्षेत्रीय विनियामक या स्टॉक एक्सचेंजों की आपत्तियों या सुझावों, यदि कोई हों, को स्कीम में समाधान करने की रीति के बारे में एक बयान स्कीम के साथ संलग्न किया जाएगा:”

(ङ) उप-नियम (8) के पश्चात निम्नलिखित उप-नियम अंत:स्थापित किया जाएगा, अर्थात:

“(9) इस नियम के उपबंध, यथावश्यक परिवर्तनों सहित, धारा 232 की उप-धारा (1) के खंड (ख) में निर्दिष्ट किसी कंपनी के उपक्रम के विभाजन या अंतरण की योजना के संबंध में लागू होंगे और ऐसा आदेश पारित करते समय, केन्द्रीय सरकार धारा 232 की उप-धारा (3) के खंड (क) से (ञ) में निर्दिष्ट प्रकृति के उपबंध, जहां तक वे लागू होते हैं, कर सकेगी।”

3. इन नियमों के उपाबंध-क में, प्ररूप सीएए-9, सीएए-10, सीएए-11 और सीएए-12 के स्थान पर निम्नलिखित प्ररूप रखे जाएंगे, अर्थात:-

आपत्तियां एवं सुझाव आमंत्रित करने की स्कीम की सूचना

एतद्वारा मैसर्स [...................................] (कंपनी का नाम) द्वारा सूचित किया जाता है कि मैसर्स [...] (कंपनी का नाम) के साथ विलयन या समामेलन या विभाजन या उपक्रम के हस्तांतरण की स्कीम प्रस्तावित है और कंपनी अधिनियम, 2013 की धारा 233 की उप-धारा (1) (क) के अनुसरण में इस स्कीम के संबंध में आपत्तियां या सुझाव आमंत्रित किए जाते हैं।

(i) रजिस्ट्रार (उस क्षेत्र के रजिस्ट्रार का ब्यौरा दें जहां अंतरक/अंतरिती कंपनी का रजिस्ट्रीकृत कार्यालय स्थित है);

(ii) शासकीय समापक (उस क्षेत्र के शासकीय समापक के ब्यौरे दें, जहां अंतरक कंपनी का रजिस्ट्रीकृत कार्यालय स्थित है); और

(iii) कोई भी व्यक्ति जिसका हित इस प्रस्तावित स्कीम से प्रभावित होने की संभावना हो।

उपरोक्त (i), (ii) या (iii) में उल्लिखित कोई भी व्यक्ति, इस स्कीम के संबंध में आपत्तियां या सुझाव देने का इच्छुक इस सूचना की तारीख से तीस दिनों के भीतर अपनी आपत्तियां या सुझाव [.........................] (केन्द्रीय सरकार ...................... (पता) और अंतरक कंपनी का प्राधिकृत प्रतिनिधि) श्री _______ (पता) को भेजें।

घोषणा

(ii) संबंधित व्यक्तियों की समाधान के लिए स्कीम पर आक्षेपों को सम्यक रूप में रखा गया है;

(iii) इस स्कीम को क्रमशः धारा 233 (1) (ख) और (घ) के अनुसरण में अपेक्षित बहुमत द्वारा अंतरक या विलयन, अंतरिती या परिणामी कंपनी के सदस्यों और लेनदारों द्वारा अनुमोदित किया गया है;

(iv) धारा 233 (9) (ग) में निर्दिष्ट अंतरक कंपनी द्वारा या उसके विरुद्ध कानूनी कार्रवाई अंतरिती कंपनी द्वारा या उसके विरुद्ध जारी रखी जाएगी;

(v) अधिनियम की धारा 233 और उसमें वहां बनाए गए नियमों की सभी अपेक्षाओं का अनुपालन कर लिया गया है; और।

(vi) मेरी जानकारी और विश्वास के अनुसार इस आवेदन पत्र और इसके संलग्नक में दी गई सूचना सही और पूर्ण है;

G.S.R. 603(E).––– In exercise of the powers conferred by sub-sections (1) and (2) of section 469 read with section 233 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 namely :-

1. Short title and commencement.‐ (1) These rules may be called the Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2025.

(2) They shall come into force on the date of their publication in the Official Gazette.

2. In the Companies (Compromises, Arrangements and Amalgamations) Rules, 2016 (hereafter referred to as “the said rules”), in rule 25,

(a) for sub-rule (1), the following sub-rule shall be substituted, namely:-

“ (1) The notice of the proposed scheme, under clause (a) of sub-section (1) of section 233 of the Act, to invite objections or suggestions from the Registrar and official liquidator or persons affected by the scheme shall be in Form No. CAA.9:

Provided that in case of a company regulated by a sectoral regulator such as Reserve Bank of India, Securities and Exchange Board, Insurance Regulatory and Development Authority of India or Pension Fund Regulatory and Development Authority, as the case may be, the notice shall be issued to the concerned regulator and to respective stock exchanges, for listed companies, for objections or suggestions within the period specified in clause (a) of sub-section (1) of section 233.”.

(b) in sub-rule (1A),‐

(i) in clause (ii), for the words “small company”, the words “small company; or” shall be substituted.

(ii) after clause (ii), the following clauses shall be inserted, namely:-

“(iii) one or more unlisted company, (not being company referred to in section 8 of the Act) with one or more unlisted company, (not being company referred to in section 8 of the Act), where every company involved in the merger,‐

(a) has, in aggregate, outstanding loans, debentures or deposits not exceeding two hundred crore rupees, and

(b) has no default in repayment of loans, debentures or deposits referred to in sub-clause (a),

on a day, not more than thirty days before the date of notice referred to in clause (a) of sub-section (1) of section 233 of the Act and on the date of filing of scheme under sub-section (2) of section 233 of the Act:

Provided that a certificate from the auditor of the company that the company meets the conditions referred to in this clause shall be filed in Form No. CAA-10A along with the copy of the approved scheme referred to in sub-section (2) of section 233 of the Act;

(iv) a holding company (listed or unlisted) and a subsidiary company (listed or unlisted):

Provided that this clause shall not apply where the transferor company or companies are listed;

(v) one or more subsidiary company of a holding company with one or more other subsidiary company of the same holding company where the transferor company or companies are not listed;

Illustration:-

Company ‘D’ is the subsidiary of Company ‘C’ and Company ‘C’ is the subsidiary of Company ‘B’ and in turn Company ‘B’ is the wholly owned subsidiary (WOS) of Company ‘A’.

In this case Company ‘B’ is the WOS of Company ‘A’. Company ‘C’ and Company ‘D’ are subsidiaries of the same holding company i.e. Company ‘A’

Subject to the condition stated in the clause, schemes of merger or amalgamation or transfer or division between Company ‘A’, Company ‘B’, Company ‘C’ and Company ‘D’ or any combination thereof would be covered under this clause.

(vi) merger of the transferor foreign company incorporated outside India being a holding company with the transferee Indian company being its wholly owned subsidiary company incorporated in India referred to in sub-rule (5) of rule 25A.”.

(c) in sub-rule (2), after the words, letters and figures “Form No. CAA.10”, the brackets, words, letters and figure “(as attachment to Form GNL-1)” shall be inserted.

(d) in sub-rule (4), for clause (a), the following clause shall be substituted, namely:-

“(a) For the purposes of sub-section (2) of section 233 of the Act, the transferee company shall, within a period of fifteen days after the conclusion of the meeting of members or class of members or creditors or class of creditors, file a copy of the scheme as agreed to by the members and creditors, along with a report of the result of each of the meetings and the report of the registered valuer in Form No. CAA.11 (as attachment to Form RD-1), with the Central Government, along with the fees as provided under the Companies (Registration Offices and Fees) Rules, 2014:

Provided that in case of a company referred to in proviso to sub-rule (1), a statement about the manner in which the objections or suggestions, if any, of the sectoral Regulator or the stock exchanges, as the case may be, have been addressed in the scheme shall be attached with the scheme.”.

(e) after sub-rule (8) the following sub-rule shall be inserted, namely:-

“(9) The provisions of this rule shall, mutatis mutandis, apply in respect of a scheme of division or transfer of undertaking of a company referred to in clause (b) of sub-section (1) of section 232 and while passing such order, the Central Government may make provisions of the nature specified in clauses (a) to (j) of sub-section (3) of section 232 to the extent they are applicable.”.

3. In the said rules, in Annexure-A, for Forms CAA-9, CAA-10, CAA-11 and CAA-12, the following Forms shall be substituted, namely:-

Notice of the scheme inviting objections or suggestions
