सा.का.नि. 811(अ).— केन्द्रीय सरकार, कंपनी अधिनियम 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 173, धारा 177, धारा 178 और धारा 186 द्वारा प्रदत्त शक्तियों का प्रयोग करते हुए, कंपनी (बोर्ड की बैठकें और इसकी शक्तियाँ) नियम, 2014 का और संशोधन करने के लिए निम्नलिखित नियम बनाती है अर्थात् :-

1. (1) इन नियमों का संक्षिप्त नाम कंपनी (बोर्ड की बैठकें और इसकी शक्तियाँ) संशोधन नियम, 2025 है।

(2) ये राजपत्र में इनके प्रकाशन की तारीख को प्रवृत्त होंगे।

2. कंपनी (बोर्ड की बैठकें और इसकी शक्तियाँ) नियम, 2014 के, नियम 11 के, उपनियम (2) के स्थान पर निम्नलिखित उपनियम रखा जाएगा, अर्थात्:-

‘(2) अधिनियम की धारा 186 की उपधारा (11) के खण्ड (क) के प्रयोजन के लिए वाक्यांश, “औद्योगिक उद्यमों के वित्तपोषण का व्यवसाय” में शामिल होंगे:

(i) भारतीय रिज़र्व बैंक में रजिस्ट्रीकृत गैर-बैंककारी वित्तीय कंपनी के संबंध में, “अपने व्यवसाय के सामान्य परिचालन में किसी व्यक्ति द्वारा लिए गए किसी ऋण की विहित पुनः संदाय के लिए किसी व्यक्ति को कोई ऋण देने अथवा कोई प्रत्याभूति या प्रतिभूति उपलब्ध कराने का व्यवसाय” भी है।

(ii) अंतर्राष्ट्रीय वित्तीय सेवा केन्द्र प्राधिकरण के पास रजिस्ट्रीकृत वित्तीय कंपनी के संबंध में, “अपने व्यवसाय के सामान्य परिचालन में, अंतर्राष्ट्रीय वित्तीय सेवा केन्द्र प्राधिकरण (वित्तीय कंपनी) विनियम 2021 के विनियम 5 के उप-विनियम (1) के खण्ड (ii) के उपखण्ड (क), या उपखण्ड (ङ) में यथा-उपबंधित क्रियाकलाप, भी है।”।’

टिप्पण – कंपनी (बोर्ड की बैठकें और इसकी शक्तियाँ) नियम, 2014 भारत के राजपत्र, असाधारण, भाग-2, खण्ड -3, उपखण्ड (i) में सा.का.नि. संख्या 240 (अ) तारीख 31 मार्च, 2014 के द्वारा प्रकाशित किए गए थे और तत्पश्चात अधिसूचना संख्यांक सा.का.नि. 409 (अ), तारीख 15 जून, 2021 के द्वारा इसमें अंतिम बार संशोधन किया गया।

MINISTRY OF CORPORATE AFFAIRS NOTIFICATION

New Delhi, the 3rd November, 2025

G.S.R. 811(E).— In exercise of the powers conferred by sections 173, 177, 178 and 186 read with section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Meetings of Board and its Powers) Rules, 2014, namely: —

1. (1) These rules may be called the Companies (Meetings of Board and its Powers) Amendment Rules, 2025.

(2) They shall come into force on the date of their publication in the Official Gazette.

2. In the Companies (Meetings of Board and its Powers) Rules, 2014, in rule 11, for sub-rule (2), the following sub-rule shall be substituted, namely: —

‘(2) For the purposes of clause (a) of sub-section (11) of section 186 of the Act, the expression “business of financing industrial enterprises” shall include —

(i) with regard to a Non-Banking Financial Company registered with the Reserve Bank of India, “business of giving of any loan to a person or providing any guaranty or security for due repayment of any loan availed by any person in the ordinary course of its business”; and

(ii) with regard to a Finance Company registered with the International Financial Services Centres Authority, “activities as provided in sub-clause (a), or sub-clause (e) of clause (ii) of sub-regulation (1) of regulation 5 of the International Financial Services Centres Authority (Finance Company) Regulations, 2021 in the ordinary course of its business”.’
